Terms of Service

These Terms of Service (“Terms”) constitute a binding agreement between you (“Operator,” “you,” or “your”) and Auth3ntic AI (“Company,” “we,” “us,” or “our”), doing business as Praetonis. By creating an account, signing an order form, or using the Praetonis platform, you agree to these Terms. If you do not agree, do not use the Service. Please also review our Privacy Policy, which is incorporated by reference.

1. Overview

Praetonis is an AI-powered front office platform designed for trade businesses, including but not limited to HVAC, plumbing, roofing, and pest control operators. The platform answers inbound calls, books jobs, recovers revenue, solicits customer reviews, chases outstanding payments, and delivers daily operational briefings on behalf of the Operator.

These Terms govern your access to and use of the Praetonis platform, including all associated features, integrations, communications, and support services (collectively, the “Service”).

2. Definitions

  • “Operator” — The trade business owner or authorized representative who subscribes to the Praetonis Service.
  • “End Customer” — Any person who contacts the Operator’s business through a phone number, web form, or other channel handled by Praetonis.
  • “Operator Data” — Business information, configuration, call recordings, transcripts, contact records, and any other data generated through or provided to the Service.
  • “Setup Fee” — The one-time fee charged at the beginning of the subscription to configure and deploy the Service for the Operator.
  • “Subscription Term” — The initial 12-month commitment period, and any subsequent renewal periods.
  • “Daily Briefing” — The summary of the prior day’s operational activity delivered to the Operator via SMS or the web dashboard.

3. The Service

Praetonis provides the following core capabilities on behalf of the Operator:

  • Call Answering — AI voice agent answers inbound calls to the Operator’s Twilio-provisioned phone number, handling inquiries, qualification, and scheduling.
  • Job Booking — Scheduling appointments on the Operator’s connected calendar based on availability and service type.
  • Revenue Recovery — Following up with missed calls, abandoned leads, and lapsed customers to re-engage and book jobs.
  • Review Solicitation — Requesting reviews from satisfied customers on the Operator’s Google Business Profile after completed jobs.
  • Payment Follow-Up — Sending reminders for outstanding invoices and facilitating payment collection.
  • Daily Briefing — Delivering a summary of the previous day’s calls, bookings, revenue activity, and pending actions via SMS.

A dedicated Twilio phone number is provisioned for each Operator. All inbound calls to that number are handled by the Praetonis voice agent. Calls are recorded and transcribed as described in our Privacy Policy.

The Operator may pause and resume Praetonis operations at any time by sending STOP or START via SMS to the provisioned number, or through the web dashboard. Pausing operations does not suspend billing or extend the Subscription Term.

4. Account & Access

To use the Service, you must create an account and provide accurate business information during onboarding. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You represent and warrant that:

  • You are at least 18 years of age and have the legal authority to enter into these Terms.
  • You are authorized to act on behalf of the business you register with Praetonis.
  • The information you provide during onboarding is accurate and complete.
  • You will promptly update your account information if any details change.

We reserve the right to suspend or terminate accounts that violate these Terms, provide fraudulent information, or use the Service in a manner that is harmful to other users, End Customers, or the platform.

5. Pricing & Payment

Subscription Fees

Praetonis is offered on a monthly subscription basis with an initial 12-month commitment. Current pricing is as follows:

  • Founding Rate — $997 per month (available to the first 20 customers only). The founding rate is locked for the duration of the initial 12-month Subscription Term.
  • Standard Rate — $1,497 per month. Applies to all subscriptions after the founding cohort is filled.
  • Setup Fee — $2,500 one-time, due at the start of the Subscription Term. Covers onboarding, configuration, integration setup, and voice agent training for your business.

Payment Method

All payments are processed through Stripe. By subscribing, you authorize us to charge the payment method on file for recurring monthly fees on the same calendar day each month. If a payment fails, we will attempt to process it again within 3 business days and notify you by email. Accounts with payments overdue by more than 14 days may be suspended until the balance is resolved.

Rate Lock

Your monthly rate is locked for the full duration of your current Subscription Term. We will not increase your rate mid-term. Any changes to pricing that affect your renewal rate will be communicated at least 30 days before your renewal date.

6. Auto-Renewal & Cancellation

California Auto-Renewal Disclosure (Cal. Bus. & Prof. Code §17600–17606)

Your Praetonis subscription will automatically renew at the end of each 12-month Subscription Term unless you cancel. You will be charged the then-current monthly rate upon renewal. You may cancel at any time as described below. Your affirmative consent to these auto-renewal terms is required before your subscription begins.

Subscription Term

The initial Subscription Term is 12 months from the date of activation. At approximately month 11, we will contact you to discuss renewal terms, including any changes to pricing.

Automatic Renewal

Unless you provide written notice of cancellation at least 30 days before the end of your current Subscription Term, your subscription will automatically renew for successive 12-month terms. Founding rate subscribers: the founding rate is not guaranteed upon renewal. Your renewal rate will be communicated during the month-11 renewal discussion.

How to Cancel

You may cancel your subscription by any of the following methods:

  • Email — Send a cancellation request to hello@praetonis.com
  • Web Dashboard — Navigate to Account Settings and select “Cancel Subscription”
  • Written Notice — Mail cancellation to the address listed in Section 21

We will acknowledge your cancellation request within 3 business days and provide written confirmation. If you cancel during your Subscription Term (after the 21-day guarantee period), the Service will remain active through the end of your current billing cycle. No partial-month refunds are issued for cancellations mid-cycle.

Early Termination

If you terminate before the end of your 12-month commitment (and outside the 21-day guarantee window), you remain responsible for the remaining monthly fees through the end of the Subscription Term. We may, at our discretion, waive early termination fees in cases of documented business closure or hardship.

7. 21-Day Money-Back Guarantee

Our commitment: If Praetonis is not fully operational per the agreed workflow within 21 days of activation, we will continue implementation at no additional charge until it is. If you are still not satisfied within those 21 days, you are entitled to a full refund of the Setup Fee and any monthly fees paid.

The 21-day guarantee period begins on the date of Service activation (the date your Twilio number goes live and the voice agent is deployed). During this period:

  • If the Service is not performing per the workflow agreed during onboarding, we will continue working to resolve the issue at no cost to you.
  • If you wish to cancel within the 21-day window, notify us by email at hello@praetonis.com with subject line “21-Day Guarantee — [Your Business Name].”
  • Upon receiving a valid cancellation request within the guarantee period, we will issue a full refund of the Setup Fee ($2,500) and any monthly subscription fees already charged.
  • Refunds will be processed to the original payment method within 10 business days.

This guarantee does not apply to delays caused by the Operator’s failure to provide required onboarding information, calendar access, or integration credentials in a timely manner.

8. Authority Tiers & Decision-Making

Praetonis operates under a three-tier authority model. The Operator acknowledges and agrees to the following delegation structure:

Tier 1 — Autonomous

Routine actions the AI handles without Operator approval: answering calls, booking standard jobs, sending appointment confirmations, requesting reviews after completed jobs, delivering daily briefings, and standard follow-up communications.

10%

Tier 2 — Bounded

Actions within predefined rules that the AI may execute but flags for Operator review: scheduling outside normal hours, jobs near the edge of the service area, follow-ups exceeding standard frequency, and invoice reminders above a configured threshold.

5%

Tier 3 — Human Approval Required

Actions that require explicit Operator approval before execution: sending collections notices, responding to complaints, issuing discounts or credits, processing cancellations, and any action involving financial commitments on behalf of the Operator.

Tier 3 approval requests are sent to the Operator via SMS and/or the web dashboard. If the Operator does not respond to a Tier 3 request within 24 hours, the action will remain pending and will not be executed.

The Operator may adjust the classification of specific action types between tiers by contacting support. Changes take effect within 2 business days.

9. Data & Privacy

By using the Service, the Operator acknowledges and consents to the following data practices. Full details are provided in our Privacy Policy.

Data Collection

  • All calls handled by Praetonis are recorded and transcribed. Callers are informed of recording at the beginning of each call.
  • End Customer personal information — including names, phone numbers, addresses, email addresses, and service request details — is collected and stored to operate the Service.
  • Payment information for the Operator’s Stripe billing is processed by Stripe and is not stored by Praetonis.

Data Use

Operator Data is used solely for the purpose of operating and improving the Service. We do not sell Operator Data or End Customer data to third parties. Aggregated, anonymized data may be used for product improvement and benchmarking.

Data Retention & Deletion

  • Call recordings and transcripts are retained for 12 months from the date of the call, unless the Operator requests a different retention period.
  • Upon account closure, operational data is deleted within 30 days. Billing records are retained for 7 years per accounting requirements.
  • Operators may request deletion of specific data categories at any time by emailing hello@praetonis.com. Requests are fulfilled within 14 business days, subject to legal retention requirements.

Data Ownership

The Operator retains ownership of all Operator Data. By using the Service, you grant Auth3ntic AI a limited, non-exclusive license to use Operator Data solely for the purpose of delivering, maintaining, and improving the Service during the Subscription Term and any reasonable wind-down period after termination.

10. California Consumer Privacy Rights (CCPA/CPRA)

If you are a California resident or if your End Customers are California residents, the following rights apply under the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA).

Praetonis as Service Provider

With respect to End Customer personal information, Praetonis acts as a “service provider” as defined under the CCPA. We process End Customer personal information solely on behalf of and at the direction of the Operator, for the business purposes described in these Terms and our Privacy Policy.

Categories of Personal Information Collected

  • Identifiers — Names, phone numbers, email addresses, mailing addresses
  • Commercial information — Service requests, job history, payment records, invoice data
  • Audio information — Call recordings and voicemail recordings
  • Internet or electronic activity — Web form submissions, dashboard usage logs, SMS interactions
  • Professional information — Business name, trade type, service area

Your Rights Under CCPA/CPRA

California residents have the following rights, which may be exercised at no cost:

Right to Know

Request disclosure of the categories and specific pieces of personal information we have collected about you.

Right to Delete

Request deletion of personal information we have collected, subject to legal exceptions.

Right to Correct

Request correction of inaccurate personal information we maintain about you.

Right to Opt-Out

Opt out of the sale or sharing of personal information. Praetonis does not sell or share personal information.

Right to Limit Use

Limit use of sensitive personal information to purposes necessary to perform the Service.

Non-Discrimination

We will not discriminate against you for exercising any CCPA/CPRA rights.

How to Exercise Your Rights

To submit a request, email hello@praetonis.com with subject line “CCPA Request — [Your Name].” We will verify your identity before processing any request and will respond within 45 days as required by law. If additional time is needed, we will notify you of the extension (up to an additional 45 days).

Operator Obligations

As the Operator, you are the “business” under the CCPA with respect to End Customer data. You are responsible for providing any required privacy notices to your End Customers and for forwarding CCPA requests from End Customers to us at hello@praetonis.com so that we can assist in fulfilling them.

11. Intellectual Property

The Praetonis platform, including its voice agent technology, algorithms, dashboard interface, and all associated documentation, is the proprietary property of Auth3ntic AI. All rights are reserved.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business operations during the Subscription Term. You may not:

  • Reverse engineer, decompile, or disassemble any part of the Service
  • Sublicense, resell, or redistribute the Service to any third party
  • Use the Service to build a competing product or service
  • Remove or alter any proprietary notices, labels, or branding

12. Third-Party Integrations

The Service integrates with the following third-party platforms to deliver its core functionality:

  • Google Calendar — For reading availability and creating job appointments
  • Google Business Profile — For soliciting and managing customer reviews
  • Stripe — For payment processing and subscription billing
  • Twilio — For telephony, call routing, SMS communication, and phone number provisioning

By connecting a third-party integration, you authorize Praetonis to access and use data from that integration as necessary to deliver the Service. You are responsible for maintaining valid credentials and permissions for each connected integration.

Auth3ntic AI is not responsible for the availability, accuracy, or performance of third-party services. If a third-party integration experiences downtime or changes its API, Praetonis functionality that depends on that integration may be temporarily affected. We will use reasonable efforts to restore functionality promptly.

13. Service Availability

We use commercially reasonable efforts to maintain the availability and reliability of the Praetonis platform. However, the Service is provided “as is” and “as available” during this phase of the product.

We do not provide a guaranteed uptime Service Level Agreement (SLA) at this time. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Unscheduled maintenance to address security or stability issues
  • Outages caused by third-party service providers (Twilio, Google, Stripe)
  • Force majeure events beyond our reasonable control

We will notify Operators of any significant service disruptions via email or SMS as soon as practicable and will provide estimated resolution times when available.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • No Consequential Damages. Auth3ntic AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of data, or business interruption, arising out of or related to your use of the Service, regardless of the theory of liability.
  • Aggregate Liability Cap. Auth3ntic AI’s total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the total amount you have paid to Auth3ntic AI during the 12-month period immediately preceding the event giving rise to the claim.
  • AI-Generated Actions. Praetonis is an AI system that operates with delegated authority. While we design the system to act within the authority tiers described in Section 8, Auth3ntic AI’s liability for actions taken by the AI agent is subject to the aggregate liability cap above. The Operator is responsible for reviewing Tier 2 and approving Tier 3 actions.
  • Third-Party Services. Auth3ntic AI is not liable for any damages arising from the acts, omissions, or outages of third-party service providers including Twilio, Stripe, and Google.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law. Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence.

15. Indemnification

You agree to indemnify, defend, and hold harmless Auth3ntic AI, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service in violation of these Terms
  • Your breach of any representation or warranty made in these Terms
  • Your violation of any applicable law or regulation, including consumer protection, telemarketing, or data privacy laws
  • Claims by End Customers arising from the Operator’s business practices, service quality, or disputes unrelated to the Praetonis platform
  • Content, instructions, or configurations you provide to Praetonis that cause harm to third parties

Auth3ntic AI will provide reasonable notice of any such claim and cooperate with your defense at your expense. Auth3ntic AI reserves the right to assume exclusive defense of any claim at its own expense if you fail to respond within 15 business days of notice.

16. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at hello@praetonis.com with a written description of the dispute. We will attempt to resolve the matter informally within 30 days.

Binding Arbitration

If a dispute cannot be resolved informally, you and Auth3ntic AI agree to resolve the dispute through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court. The arbitration shall take place in the State of California. The arbitrator’s decision shall be final and binding and may be enforced in any court of competent jurisdiction.

Class Action Waiver

All disputes shall be resolved on an individual basis. You agree to waive any right to participate in a class action, collective action, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding.

Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court in the State of California, provided the claim falls within the court’s jurisdictional limits.

Injunctive Relief

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement, data security breaches, or unauthorized access to the Service.

17. Governing Law & Venue

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

For any dispute not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of California. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

18. Electronic Signatures & Communications

In accordance with the California Uniform Electronic Transactions Act (Cal. Civ. Code §1633.1 et seq.) and the federal Electronic Signatures in Global and National Commerce Act (E-SIGN), you agree that:

  • Your electronic acceptance of these Terms (by creating an account, clicking “I Agree,” or signing an electronic order form) constitutes a legally binding signature.
  • We may deliver all notices, disclosures, and communications to you electronically via the email address associated with your account, SMS to the phone number on file, or through the web dashboard.
  • Electronic records of your agreement, transactions, and communications satisfy any legal requirement that such records be in writing.
  • You may withdraw consent to electronic communications by contacting hello@praetonis.com, but doing so may limit our ability to deliver the Service and may result in account suspension.

19. Changes to These Terms

We may update these Terms from time to time. When we make changes:

  • Material changes — We will provide at least 30 days’ advance notice via email before the changes take effect. Material changes include modifications to pricing, payment terms, liability provisions, or arbitration terms.
  • Minor changes — Corrections, clarifications, and formatting updates will be reflected in the “Last updated” date at the top of this page without advance notice.

Your continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms. If you disagree with a material change, you may terminate your subscription before the effective date of the change. Early termination under this section is not subject to early termination fees.

20. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any order form or statement of work signed between you and Auth3ntic AI, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the waiving party.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. Auth3ntic AI may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided the assignee assumes all obligations under these Terms.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, power failures, internet outages, or third-party service provider failures. The affected party will use reasonable efforts to mitigate the impact and resume performance promptly.

Notices

All notices required or permitted under these Terms shall be in writing and shall be deemed given when delivered by email to the address on file, or when sent by certified mail to the addresses listed in Section 21.
